1. Acceptance of Terms
By creating an account or using PM-Dupange in any way, you confirm that you are at least 16 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Description of Service
PM-Dupange is a cloud-based project management and team collaboration platform. The Service includes task management boards, messaging channels, analytics, reporting, and other productivity tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Provide accurate and complete registration information
- Notify us immediately of any unauthorised use of your account
- Not share your login credentials with others
- Not create accounts for automated or fraudulent purposes
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit harmful, offensive, or disruptive content
- Attempt to gain unauthorised access to the platform or other users' data
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to send unsolicited communications (spam)
- Interfere with the proper functioning of the platform
5. Subscription Plans & Payments
Free Plan: We offer a limited free tier with restricted features and seat count.
Paid Plans: Paid subscriptions (Starter, Professional, Enterprise) are billed in advance on a monthly or yearly basis. All fees are non-refundable except as required by law or as otherwise specified in our refund policy.
Price Changes: We may change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.
6. Intellectual Property
Our IP: The Service, including its design, features, and underlying technology, is owned by Dupange and protected by applicable intellectual property laws. You may not copy or use our branding, trademarks, or proprietary materials without our written consent.
Your Content: You retain ownership of all content you create or upload to the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive licence to host, store, and display your User Content solely as necessary to provide the Service.
7. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We handle your data in accordance with applicable data protection laws.
8. Service Availability & SLA
We aim to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance where possible. We are not liable for any losses resulting from service downtime.
9. Limitation of Liability
To the maximum extent permitted by law, Dupange shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless Dupange and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, your User Content, or your violation of these Terms.
11. Termination
We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination before permanent deletion, during which you may request an export.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if unsuccessful, through binding arbitration or in the courts of competent jurisdiction.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or a prominent notice within the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
